These terms are incorporated by reference into every estimate, proposal, and contract issued by American Group, LLC that refers to this page.
Effective date: September 28, 2026
“Buyer” for the purposes of this agreement is the individual listed on the estimate, proposal, or contract signed by Buyer and whose signature appears on that document.
“Seller” for the purposes of this agreement is American Group, LLC.
Products & Services. American Group, LLC promises to provide products and services subject to the products and services listed on the estimate, proposal, or contract signed by Buyer in a timely and professional manner using industry standards and professional products and equipment subject to the recommendations, and terms and conditions of the manufacturer, and subject to the following terms and conditions:
Sealing. We use coatings and sealants manufactured by companies unrelated to American Group, LLC, its employees, or its shareholders. American Group only purchases sealants manufactured in strict accordance with industry standards. American Group only purchases sealants provided by manufacturers that have quality assurance guarantees for their products. American Group observes all manufacturers recommendations in applying products to your property.
Striping. We use commercial grade paint. Sealmaster, Sherwin Williams, and Lanning Paints provide warranties for their products.
Paving. Asphalt must be applied at extremely high temperatures. We must use asphalt from a plant nearest your job site. Each plant uses its own mix of sand, gravel, and hot liquid asphalt. Therefore, some paving surfaces may be smoother than others. Each plant must guarantee its own asphalt.
Permits. Any and all permits are the responsibility of the customer unless otherwise agreed in advance in writing.
General Terms. American Group, LLC does not warranty or guarantee pavement from damage due to harmful chemicals or misuse of surfaces, including damage caused by driving or hauling excessive weight vehicles or heavy equipment across paved surfaces. Pavement is as good as its foundation - a poor foundation will cause cracks and breaks in pavement regardless of thickness. We do not guarantee surfaces damaged due to weak foundations, subterranean faults, sinkholes, or unknown conditions. We do not guarantee against damage caused by vegetation (grass, bushes, tree roots, etc.), or acts of God such as earthquakes, flooding, droughts, extreme heat, or erosion. We do not guarantee installations over underground utilities, culverts, drains, or other man-made and installed subterranean structures.
Drainage. Every paved surface will hold some water. American Group, LLC promises best efforts, but does not warranty drainage for parking lots and driveways for overlays or surfaces for which we do not prepare or build the final grade for paving. American Group, LLC will guarantee ninety percent (90%) drainage for all paved surfaces for which we prepare the final grade for paving.
Repairs and Subsequent Remedial Action. Buyer and Seller understand and agree that paving and sealing is difficult and sometimes requires subsequent repair or treatments by the Seller. Seller maintains and demands the highest degree of customer service and satisfaction. Buyer understands and agrees to give Seller up to thirty (30) days to cure any defects in the delivery of service and products by Seller. Buyer shall notify Seller of any defect by mailing said notice to Seller at the address listed on the estimate, proposal, or contract signed by Buyer.
Change Orders. Any deviation from the products and services listed on the estimate, proposal, or contract signed by Buyer (or change in the work schedule for delivery of listed products and services at the request of Buyer) may result in a change order being issued by Seller. Buyer agrees to reasonable change orders based on Buyer’s request(s) for additional products and services or subject to changes in conditions or terms because of Buyer actions or actions outside the control of Seller. Buyer may cancel agreement and pay Seller reasonable fees based on products and services delivered in the event change order exceeds ten percent (10%) of the total price.
Work Areas. Buyer agrees to provide best efforts to assist Seller in clearing lots, driveways, or other work areas in order to provide Seller the best opportunity to complete jobs in a timely manner. Buyer agrees that failure to provide clear work areas may result in additional trips by equipment and crews and result in change orders due to increased costs to Seller.
Damages. Seller agrees that any damages relating to a violation of the terms and conditions of this agreement shall be limited to the amount stated on the estimate, proposal, or contract signed by Buyer, plus costs and fees. Buyer agrees that any damages relating to a violation of the terms and conditions of this agreement shall be limited to the amount necessary to complete the contract in a professional manner.
Attorney Fees. Buyer and Seller agree to proceed in good faith. Buyer and Seller agree that a breach of good faith by either party shall result in attorney fees being awarded the other party.
Binding Arbitration. Buyer and Seller agree to binding arbitration for any claims resulting from the products and/or services delivered by American Group, LLC subject to this agreement in accordance with the rules associated with commercial transactions published by the American Arbitration Association.
Choice of Law. Buyer and Seller agree the choice of law is the law of the Commonwealth of Kentucky and the venue for any dispute, arbitration, or suit shall be Jefferson County, Kentucky.
Entire Agreement. The estimate, proposal, or contract signed by Buyer, together with these Terms and Conditions of Agreement, constitute the entire agreement notwithstanding any other verbal discussions or understandings. Any change in the terms of this agreement must be in writing executed by both Buyer and Seller.
